Boxbase – Terms of Service

1. Scope & Provider

Boxbase is a software platform operated by Luminous Falcon GmbH, Littengasse 2B, 6850 Dornbirn, Austria (“Boxbase”). These Terms of Service govern the use of the Boxbase platform by gyms, studios, and other business customers (“Gyms”).

2. Nature of the Service

Boxbase provides a technical software platform for gym management, including but not limited to class scheduling, member management, payments, and electronic agreement functionality. Boxbase does not provide legal, financial, or tax advice.

3. Agreements Between Gyms and Members

Contracting Parties

Any agreements, terms, or contracts created, presented, or signed using Boxbase are concluded exclusively between the Gym and the Member. Boxbase is not a party to such agreements and does not assume any rights or obligations arising from them.

Responsibility for Content

The Gym is solely responsible for: the content of agreements, their legal compliance, their enforceability under applicable law. Boxbase does not review, validate, or monitor agreement content.

4. Electronic Signatures

Boxbase enables the use of simple electronic signatures. The legal effect and evidentiary value of an electronically signed agreement depend on applicable law and the circumstances of the individual case. Boxbase does not guarantee the enforceability of electronically signed agreements.

5. Data Processing & Privacy

Boxbase processes personal data in accordance with its Privacy Policy. Where Boxbase processes personal data on behalf of Gyms (e.g. member data, agreements, signatures), the Gym acts as data controller and Boxbase acts as data processor within the meaning of the GDPR. A separate Data Processing Agreement (DPA) applies where required.

6. Availability & Changes

Boxbase strives to provide a reliable service but does not guarantee uninterrupted availability. Boxbase may modify, update, or discontinue features at any time, provided that such changes do not unreasonably disadvantage the Gym.

7. Limitation of Liability

To the extent permitted by law, Boxbase is not liable for: the content or legality of agreements between Gyms and Members, disputes arising from such agreements, indirect or consequential damages. Mandatory statutory liability remains unaffected.

8. Governing Law

These Terms are governed by the laws of Austria, excluding its conflict-of-law rules.
